Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the FL101 SaaS platform ("Service"), operated by Andrei Kucherov (ABN 31 188 609 933) ("We", "Us", or "Our"), located at https://www.fl101.io. By accessing or using the Service, you ("You" or "User") agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Interpretation and Definitions
Interpretation
Words with initial capitalization have the meanings defined below, whether in singular or plural form.
Definitions
- Account: A unique account created for You to access the Service.
- Affiliate: An entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares or equivalent.
- Company: Andrei Kucherov (ABN 31 188 609 933), an Australian-based entity.
- Content: Any text, images, data, or other information You upload or provide through the Service.
- Device: Any device used to access the Service, such as a computer or mobile phone.
- Feedback: Any suggestions or ideas You provide about the Service.
- Service: The FL101 platform for designing, deploying and executing BPMN 2.0 processes, as described on https://www.fl101.io.
- You/User: The individual or entity accessing the Service.
2. Acknowledgment
These Terms form a binding agreement between You and Us. Your use of the Service is conditional on Your acceptance of these Terms and Our Privacy Policy (available at https://www.fl101.io/policy.html).
You represent that:
- You are at least 18 years old or have legal capacity to enter into contracts.
- If representing an entity, You are authorized to bind that entity.
Under Australian Consumer Law (ACL), certain guarantees apply to the Service, including that it will be provided with due care and skill, be fit for purpose, and supplied within a reasonable time. Nothing in these Terms excludes or limits Your rights under the ACL or other applicable laws.
3. User Accounts
To use the Service, You must create an Account by providing accurate information (name, email, etc.). You will receive a temporary password for initial login.
You are responsible for:
- Maintaining the confidentiality of Your Account credentials.
- All activities under Your Account.
- Notifying Us immediately of any unauthorized access.
We may suspend or terminate Your Account if You breach these Terms.
4. Grant of License
Subject to these Terms, We grant You a non-exclusive, non-transferable, revocable license to access and use the Service for Your internal business purposes during the term of Your subscription.
You may:
- Create and manage projects, processes, deployments, and activities as described in the Service documentation.
- Use features like the BPMN modeler, security key vault, data schemas, and activity logs.
Restrictions:
- You must not reverse-engineer, decompile, or attempt to derive the source code of the Service.
- You must not use the Service for illegal purposes or in violation of any laws.
- You must not share Your Account with unauthorized users.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Prohibited activities include:
- Uploading viruses, malware, or harmful code.
- Engaging in spam, phishing, or unauthorized data collection.
- Infringing on third-party intellectual property rights.
- Using the Service to harm minors or promote illegal activities.
- Overloading or disrupting the Service (e.g., DDoS attacks).
We may monitor usage to ensure compliance and may remove Content or suspend access without notice if You violate this section.
6. User Content
You retain ownership of any Content You upload (e.g., process designs, data schemas). By uploading Content, You grant Us a worldwide, royalty-free license to host, store, and use it as necessary to provide the Service.
You warrant that Your Content:
- Does not infringe third-party rights.
- Is not unlawful, defamatory, or obscene.
We are not responsible for Your Content but may remove it if it violates these Terms.
7. Intellectual Property
The Service, including all software, code, designs, trademarks, and documentation, is owned by Us or Our licensors and protected by Australian and international intellectual property laws.
You must not copy, modify, or distribute any part of the Service without Our written consent. Any Feedback You provide becomes Our property.
8. Privacy and Data Security
We handle personal information in accordance with Our Privacy Policy and the Privacy Act 1988 (Cth). We implement reasonable security measures to protect Your data, but You acknowledge that no system is entirely secure.
You consent to Us collecting and using Your data to provide the Service, including for analytics and improvements. If You are in the EU or other jurisdictions, additional rights may apply (e.g., under GDPR), but these Terms are governed by Australian law.
In case of a data breach, We will notify You as required by law.
9. Fees and Payment
Access to the Service is subject to subscription plans. All plans are billed in Australian Dollars (AUD) and are exclusive of GST (if applicable). Full details, including current pricing and billing cycles, are available at https://www.fl101.io.
Subscription Plans

Free: The default subscription plan. Allows creation of all resources except End Point Aliases. Suitable for exploration and development. Includes:
- 1 deployed processes
- 100 countable activities per billing cycle
- 100 stored data schema records
- 2 MB of local file storage

Starter: Perfect for small-scale use. Includes:
- 3 deployed processes
- 10,000 countable activities per billing cycle
- 1,000 stored data schema records
- 100 MB of local file storage
- 10 End Point aliases

Team: Built for growing teams. Includes:
- 25 deployed processes
- 100,000 countable activities per billing cycle
- 1,000 stored data schema records
- 500 MB of local file storage
- 10 End Point aliases
Countable Activities
"Countable activities" are counted when any of the following events occur within a deployed process:
- Task Is Started (Event ID: 1000)
- Process Is Started (Event ID: 1003)
Each occurrence counts as one countable activity toward your plan’s monthly limit.
Overages
If you exceed the countable-activity limit of your plan in a billing cycle, all deployed processes will be automatically suspended until the start of the next billing cycle or until you upgrade to a higher-tier plan. No additional charges apply for overages; suspension is the sole consequence.
Payment Terms
- Fees are based on your selected subscription plan and are billed in advance on a monthly.
- Payments must be made via approved payment methods.
- Failure to pay on time may result in temporary suspension of access to the Service until payment is received.
Refunds and Cancellations
Refunds: As required by Australian Consumer Law (ACL), you may be entitled to a refund if the Service is faulty or fails to meet consumer guarantees (e.g., not fit for purpose or not provided with due care and skill). Otherwise, no refunds are available for unused access, partial months, or downgrades.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. No pro-rata refunds are provided for early cancellation.
10. Service Limitations and Availability
The Service is provided "as is" without warranties, except as required by ACL. We aim for high availability but do not guarantee uninterrupted access. Downtime may occur for maintenance, updates, or unforeseen issues.
We will provide support during business hours (AEST) and aim to resolve issues promptly. Service levels may be detailed in subscription plans.
11. Limitation of Liability
To the maximum extent permitted by law (including ACL):
- Our liability for any loss or damage is limited to resupplying the Service or paying for its resupply.
- We are not liable for indirect, consequential, or special damages (e.g., loss of data, profits).
- Total liability is capped at the fees paid by You in the preceding 12 months (or AUD $100 if no fees paid).
Nothing excludes liability for death, personal injury, or fraud.
If any term is deemed unfair under ACL, it will be read down or severed to the extent necessary.
12. Indemnity
You agree to indemnify Us against any claims, losses, or expenses arising from Your breach of these Terms, misuse of the Service, or violation of third-party rights.
13. Termination
We may terminate Your access immediately if You breach these Terms. Upon termination:
- Your license ends.
- You must cease using the Service.
- We may delete Your data after 30 days (subject to legal requirements).
You may terminate by closing Your Account.
14. Changes to Terms
We may update these Terms by posting the new version on the website and notifying You via email. Continued use constitutes acceptance. If changes materially affect Your rights, You may terminate.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of that jurisdiction.
For consumer disputes, You may also use alternative dispute resolution as per ACL.
16. Miscellaneous
- Severability: If any provision is invalid, the rest remain in effect.
- Waiver: No waiver of any term is binding unless in writing.
- Assignment: We may assign these Terms; You may not without Our consent.
- Entire Agreement: These Terms, plus any order forms, constitute the full agreement.
- Force Majeure: We are not liable for delays due to events beyond Our control.
